This User Agreement and Data Processing Consent (the "Agreement") is a binding agreement between you ("you", "the User") and Nutty Gear Studio ("we", "us", "the Operator"), which operates the NG Sync service (the "Service"). This Agreement takes effect at the moment you click "I Agree" and create an account. If you do not accept it, do not create an account and do not use the Service.

1. Definitions

Service — the NG Sync web platform and its features, including accounts, profiles, projects and tasks, time tracking, chat, mail, notifications, file storage, boards, and the social network.
Organization — a workspace within the Service that groups users; each Organization has an owner and may have administrators and members.
Public Organization — a shared Organization that any User may join to obtain a free personal account.
Content — any data you create, upload, publish, or transmit through the Service (for example: profile details, posts, comments, tasks, messages, and files).
Personal Data — information that relates to an identified or identifiable individual.

2. Eligibility

You may use the Service only if you are at least 16 years old (or the minimum age required to consent to data processing in your country) and legally able to enter into this Agreement. By accepting it, you confirm that you meet these requirements and that any information you provide is accurate and your own.

3. Your account and credentials

To use the Service you create an account secured by an email address and a password, and you may be provided with a mailbox on our domain. You are responsible for keeping your credentials confidential and for all activity under your account. Notify us promptly at support@nuttygearstudio.com if you suspect unauthorized access. We are not liable for losses arising from your failure to protect your credentials.

4. Personal Data we collect

We collect and process the following Personal Data that you provide or that is generated through your use of the Service:

Identity and profile — first and last name, email address, and, if you choose to provide them, date of birth, profile photo (avatar), cover image, position, "about" description, and links.
Account and security — your hashed password, access role, organization membership, and timestamps such as account creation and start dates.
Content — the projects, tasks, time entries, posts, comments, messages, reactions, and files you create or upload.
Technical data — data necessary to operate the Service, such as session tokens, basic device/browser information, and server logs.

We do not intentionally collect special categories of Personal Data, and you should not submit such data through the Service.

5. Purposes and legal basis of processing

We process your Personal Data to:

create, secure, and administer your account and mailbox;
provide the Service and its features and display your profile and Content as designed;
enable collaboration and communication between users;
maintain security, prevent abuse, and comply with legal obligations;
contact you with service-related notifications.

The legal basis for this processing is the performance of this Agreement, our legitimate interest in operating the Service securely, your consent (which you give by accepting this Agreement), and, where applicable, compliance with law.

6. Visibility of your information to other users — please read carefully

The Service is a collaboration and social platform. By accepting this Agreement, you understand and consent that the following information is visible to other users:

Your name, avatar, cover, position, "about", links, and activity are visible to other members of your Organization and to its owner and administrators.
Any Content you publish (posts, comments, tasks, reactions, and files you choose to share) is visible to the users to whom it is addressed or who have access to the relevant area.
If you use the social network or join the Public Organization, and where cross-organization social features are enabled, parts of your public profile and posts may be visible to users of other Organizations.
Your email address is used for sign-in and notifications and may be visible to the owner and administrators of your Organization.

You acknowledge that this visibility is an essential characteristic of the Service. You are responsible for deciding what information and Content you share. You agree not to bring any claim against the Operator based on the fact that other users can see information or Content that you have provided or published in accordance with this Agreement.

7. Email and mailbox

Where the Service provides you with a mailbox on our domain, that mailbox is part of the Service and is used for authentication and communication. You must use it lawfully and must not use it to send spam, unlawful, or harmful messages.

8. Content you publish and your responsibility

You retain ownership of your Content. You are solely responsible for your Content and for ensuring you have the rights to share it. You grant the Operator a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, and display your Content only as necessary to operate and provide the Service to you and to the other users to whom it is made available. This licence ends when your Content is deleted, except for copies retained in backups for a limited period or as required by law.

9. Acceptable use

You agree not to:

upload or publish Content that is unlawful, infringing, misleading, defamatory, or offensive;
violate the privacy or rights of others, or upload another person's data without a lawful basis;
attempt to gain unauthorized access to the Service, other accounts, or other Organizations' data;
disrupt, overload, reverse engineer, or misuse the Service or its security;
use the Service to send spam or distribute malware.

We may remove Content and suspend or terminate accounts that breach these rules.

10. Storage, security, and service providers

We take reasonable technical and organizational measures to protect your Personal Data, including password hashing and access controls. No method of transmission or storage is completely secure, and we cannot guarantee absolute security. To operate the Service we use trusted infrastructure providers (such as hosting, object/file storage, and email delivery) that process data on our behalf and under appropriate safeguards. Data may be stored and processed on servers operated for the Service.

11. Data retention

We retain your Personal Data and Content for as long as your account is active and as needed to provide the Service. After account deletion we delete or anonymize your Personal Data within a reasonable period, except where we must retain certain data to comply with legal obligations, resolve disputes, or enforce this Agreement, and except for limited-duration backups.

12. Your rights and choices

Subject to applicable law, you may request to access, correct, export, restrict, or delete your Personal Data, and to withdraw your consent at any time (which does not affect processing carried out before withdrawal and may prevent further use of the Service). To exercise these rights, contact us at support@nuttygearstudio.com. We will respond within a reasonable time.

13. Cookies, tokens, and local storage

The Service uses cookies, authentication tokens, and browser local storage that are strictly necessary to sign you in, keep your session, and operate features. By using the Service you agree to their use for these purposes.

14. Changes to the Service and to this Agreement

We may improve, change, or discontinue features of the Service. We may update this Agreement; if we make material changes, we will make the updated version available and, where appropriate, ask you to accept it again. Your continued use after an update constitutes acceptance of the updated Agreement.

15. Suspension and termination

You may stop using the Service and request deletion of your account at any time. We may suspend or terminate your access if you breach this Agreement, if required by law, or to protect the Service or its users. On termination, your right to use the Service ends; provisions that by their nature should survive (such as ownership, licences for already-shared Content, disclaimers, and liability limits) will survive.

16. Disclaimers and limitation of liability

The Service is provided "as is" and "as available", without warranties of any kind, to the maximum extent permitted by law. To the maximum extent permitted by law, the Operator is not liable for indirect, incidental, special, or consequential damages, for loss of data, profits, or goodwill, or for Content or conduct of other users. Nothing in this Agreement excludes liability that cannot be excluded by law.

17. Governing law and disputes

This Agreement is governed by the laws of the jurisdiction in which the Operator is established, without regard to conflict-of-law rules. The parties will first try to resolve any dispute in good faith; if a dispute cannot be resolved, it will be submitted to the competent courts of that jurisdiction, unless mandatory law grants you the right to a different forum.

18. Contact

If you have any questions about this Agreement or about how your data is processed, contact us at support@nuttygearstudio.com.

19. Your consent

By clicking "I Agree" and creating an account, you confirm that you have read and understood this Agreement, that you accept it, and that you give your informed consent to the processing of your Personal Data and to its visibility to other users as described above. If you do not agree, please do not create an account.
